These Terms and Conditions (“Terms”) govern your access to and use of the mobile application The Celestic (“the App”), our website, and our related services (collectively, the “Services”) provided by Botanic Rain FZE (“the Company,” “we,” “us,” or “our”), a registered Free Zone Entity in the United Arab Emirates.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

  1. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. If you are under the age of legal majority, you may use the Services only with the involvement and consent of a parent or legal guardian.

By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Services complies with all applicable laws and regulations.

  1. DESCRIPTION OF SERVICES

The Celestic provides AI-assisted personalized guidance, reflections, insights, and related digital content. The Services may include conversational features, premium content areas, account-based personalization, subscription access, notifications, and other features we may introduce from time to time.

The Services are provided for informational, reflective, and personal guidance purposes only. They are not intended to provide medical, psychological, psychiatric, legal, financial, religious, professional, emergency, or crisis advice.

  1. NO PROFESSIONAL ADVICE

The content, guidance, responses, suggestions, and insights provided through the Services are not a substitute for professional advice, diagnosis, treatment, counseling, or decision-making support from qualified professionals.

You should not rely on the Services as the sole basis for making important decisions, including decisions related to health, mental health, finances, relationships, employment, legal matters, safety, or personal wellbeing.

If you are experiencing a medical emergency, mental health crisis, or risk of harm to yourself or others, you should immediately contact local emergency services or a qualified crisis support provider.

  1. ACCOUNT REGISTRATION

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information when creating or updating your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly if you believe your account has been accessed without authorization.

We reserve the right to suspend or terminate your account if the information you provide is inaccurate, misleading, incomplete, or if you violate these Terms.

  1. USER INFORMATION AND PERSONALIZATION

Certain features of the Services may rely on information you provide, including personal metadata, preferences, conversational inputs, and other information used to personalize your experience.

You are responsible for ensuring that any information you provide is accurate and that you have the right to provide it. The quality, relevance, and personalization of the Services may depend on the accuracy and completeness of the information you submit.

Our collection and use of personal information is described in our Privacy Policy.

  1. AI-GENERATED CONTENT

The Services may use artificial intelligence systems, including third-party AI providers, to generate responses, summaries, reflections, and guidance.

You understand and agree that AI-generated content may be incomplete, inaccurate, inappropriate, offensive, outdated, or unsuitable for your specific circumstances. We do not guarantee the accuracy, reliability, availability, completeness, or usefulness of any AI-generated content.

You are solely responsible for evaluating and deciding whether to rely on any content generated through the Services.

  1. USER CONTENT

You may submit text, questions, messages, preferences, profile information, and other content through the Services (“User Content”).

You retain ownership of your User Content. However, by submitting User Content, you grant Botanic Rain FZE a worldwide, non-exclusive, royalty-free license to use, process, host, store, reproduce, modify, and analyze your User Content solely for the purpose of operating, maintaining, improving, personalizing, and providing the Services.

You represent and warrant that your User Content does not violate any law, infringe any third-party rights, or contain unlawful, harmful, defamatory, abusive, hateful, obscene, or otherwise objectionable material.

  1. ACCEPTABLE USE

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right.

  • Submit false, misleading, unlawful, harmful, abusive, harassing, defamatory, obscene, or offensive content.

  • Attempt to gain unauthorized access to the Services, accounts, systems, or networks.

  • Interfere with or disrupt the operation, security, or integrity of the Services.

  • Reverse engineer, copy, scrape, crawl, decompile, or attempt to extract source code, models, prompts, systems, or data from the Services.

  • Use the Services to build, train, or improve competing products, models, or services.

  • Upload malware, harmful code, spam, or automated requests.

  • Impersonate another person or misrepresent your identity or affiliation.

  • Use the Services for emergency, crisis, medical, legal, financial, or other professional decision-making.

We reserve the right to investigate and take appropriate action against any misuse of the Services.

  1. SUBSCRIPTIONS AND PAID FEATURES

Certain features of the Services may require payment or an active subscription. Subscription terms, pricing, billing periods, renewal terms, and cancellation options will be presented at the time of purchase.

Payments may be processed through the Apple App Store, Google Play Store, or other authorized payment providers. Your purchase may also be subject to the terms, conditions, and policies of the applicable payment provider.

Subscriptions may automatically renew unless cancelled before the renewal date in accordance with the applicable app store or payment provider rules.

  1. CANCELLATIONS AND REFUNDS

You may cancel your subscription through the Apple App Store, Google Play Store, or other payment provider through which you purchased the subscription.

Refunds, if any, are handled according to the policies of the applicable payment provider. Botanic Rain FZE does not control app store refund decisions and is not responsible for refunds denied by Apple, Google, or another payment provider.

Cancellation of a subscription may prevent future billing but may not automatically result in a refund for prior payments.

  1. FREE TRIALS AND PROMOTIONS

We may offer free trials, discounts, promotional access, or other special offers at our discretion. Promotional offers may be subject to additional terms.

We reserve the right to modify, suspend, or terminate any free trial or promotion at any time, subject to applicable law.

If a free trial converts into a paid subscription, you may be charged unless you cancel before the trial period ends.

  1. INTELLECTUAL PROPERTY

The Services, including the App, website, software, designs, logos, names, trademarks, text, graphics, interfaces, systems, features, databases, prompts, workflows, and other content, are owned by or licensed to Botanic Rain FZE and are protected by intellectual property and other laws.

These Terms do not grant you any ownership rights in the Services. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Services unless expressly permitted by us in writing.

  1. THIRD-PARTY SERVICES

The Services may rely on or integrate with third-party platforms, tools, providers, APIs, app stores, payment processors, analytics providers, hosting providers, and content generation providers.

We are not responsible for the availability, accuracy, security, terms, policies, or practices of third-party services. Your use of third-party services may be governed by their own terms and privacy policies.

  1. SERVICE AVAILABILITY

We aim to provide a reliable and useful experience, but we do not guarantee that the Services will be uninterrupted, error-free, secure, accurate, or available at all times.

We may modify, suspend, discontinue, update, or restrict access to any part of the Services at any time, with or without notice, subject to applicable law.

  1. UPDATES TO THE SERVICES

We may release updates, improvements, patches, bug fixes, new features, or changes to the Services. Some updates may be required for continued use of the Services.

We are not obligated to maintain or support any particular feature, version, or functionality indefinitely.

  1. DISCLAIMERS

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Botanic Rain FZE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and security.

We do not warrant that the Services will meet your expectations, produce specific outcomes, or be free from errors, delays, interruptions, data loss, or harmful components.

  1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Botanic Rain FZE, its owners, directors, officers, employees, contractors, affiliates, service providers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, emotional distress, personal injury, business interruption, or other intangible losses arising from or related to your use of or inability to use the Services.

To the maximum extent permitted by applicable law, our total liability for any claim arising from or related to the Services or these Terms shall not exceed the amount you paid to us for the Services during the three months immediately preceding the event giving rise to the claim, or USD 100, whichever is greater.

  1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Botanic Rain FZE, its owners, directors, officers, employees, contractors, affiliates, service providers, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Your use or misuse of the Services.

  • Your violation of these Terms.

  • Your User Content.

  • Your violation of any law, regulation, or third-party right.

  • Any inaccurate, incomplete, or misleading information you provide.

  1. TERMINATION

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, created risk for us or others, misused the Services, or if we are required to do so by law.

You may stop using the Services at any time and may delete your account through the App settings where available.

Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will continue to apply, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution provisions.

  1. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

  1. DISPUTE RESOLUTION

You agree to first contact us at hello@thecelestic.com to attempt to resolve any dispute informally.

If a dispute cannot be resolved informally, the dispute shall be submitted to the competent courts of the United Arab Emirates, unless applicable consumer protection laws require otherwise.

  1. INTERNATIONAL USE

You are responsible for complying with all local laws and regulations that apply to your access to and use of the Services.

We make no representation that the Services are appropriate or available in every country or jurisdiction. Accessing the Services from locations where they are unlawful is prohibited.

  1. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our Services, business, legal requirements, or operational needs.

If we make material changes, we may notify you by email, in-app notice, or other reasonable means. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

  1. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

  1. NO WAIVER

Our failure to enforce any provision of these Terms shall not be considered a waiver of our right to enforce that provision or any other provision in the future.

  1. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or by operation of law.

  1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms presented within the Services, constitute the entire agreement between you and Botanic Rain FZE regarding your use of the Services.
